Sales Triage Affiliate Programme Agreement
This Affiliate Programme Agreement (“Agreement”) sets out the terms under which you (“Affiliate”) may participate in the Sales Triage Affiliate Programme (“Programme”).
Sales Triage is a trading name of Tech Brand Ltd, registered in England and Wales (“Sales Triage”, “we”, “us”, “our”).
By applying to join, or by participating in the Programme, you confirm that you have read, understood, and agree to be bound by this Agreement.

1. Purpose of the Programme
The purpose of the Programme is to enable approved Affiliates to refer prospective customers to Sales Triage and, where those referrals result in qualifying purchases, to earn commission in accordance with this Agreement.
Participation in the Programme does not create any partnership, agency, employment, or joint venture relationship.

2. Application and Approval
All affiliate applications are subject to approval at our discretion.
We reserve the right to reject or revoke an application or participation without obligation to provide reasons. Participation may be withdrawn where continued involvement is reasonably considered detrimental to the Sales Triage brand, customers, or commercial interests.

3. Commission and Payments
• Commission is payable only on qualifying purchases made via a valid affiliate referral.
• Referred accounts must remain active for a minimum of 37 days before commission becomes payable.
• Commission is calculated on the first qualifying purchase only per referred customer.
• Self-referrals are not permitted.
• No commission is payable on refunded transactions, chargebacks, or fraudulent activity.
• Commission payments are processed monthly.
Sales Triage reserves the right to withhold or reclaim commission where transactions are reversed or found to breach this Agreement.

4. Promotional Conduct
Affiliates may promote Sales Triage using approved affiliate links and materials, or their own materials provided that such promotion:
• Is accurate, fair, and not misleading
• Does not make unsubstantiated claims
• Does not misrepresent the nature of Sales Triage products or services
Affiliates must clearly disclose the affiliate relationship in accordance with applicable UK advertising standards, including the CAP Code and guidance issued by the Advertising Standards Authority (ASA).

5. Prohibited Activities
Affiliates must not:
• Engage in spam or unsolicited bulk messaging
• Use deceptive, misleading, or coercive marketing practices
• Promote Sales Triage in connection with illegal, offensive, or unethical content
• Infringe Sales Triage intellectual property rights
• Offer rebates, cash incentives, or kickbacks funded from affiliate commission
• Refer themselves or generate fraudulent referrals
Coupon, cashback, or deal-aggregation promotion is not permitted unless expressly authorised in writing.

6. Paid Advertising (PPC)
Affiliates may not bid on Sales Triage brand terms, close variations, or run paid advertising campaigns promoting Sales Triage without prior written permission.

7. Intellectual Property
Sales Triage retains all rights, title, and interest in its brand, trademarks, and materials.
Use of Sales Triage intellectual property is permitted solely for approved promotional purposes under this Agreement and must cease immediately upon termination.

8. Suspension and Termination
Either party may terminate participation in the Programme at any time by written notice.
Sales Triage may suspend or terminate participation immediately where this Agreement is breached or where continued participation may reasonably be considered harmful to the brand or customers.
Upon termination, all promotional activity must cease and outstanding commission will be handled in accordance with this Agreement.

9. Limitation of Liability
Sales Triage shall not be liable for indirect or consequential losses, including loss of revenue or commission, arising from participation in the Programme, including tracking issues or system interruptions.
No warranties are given regarding uninterrupted operation of the Programme.

10. Indemnity
The Affiliate agrees to indemnify and hold harmless Sales Triage, its directors, officers, and employees against any claims, losses, or liabilities arising from the Affiliate’s breach of this Agreement or promotional conduct.

11. Changes to the Agreement
We may update this Agreement from time to time. Continued participation in the Programme constitutes acceptance of any updated terms.
If changes are unacceptable, the Affiliate’s sole remedy is to terminate participation.

12. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any dispute arising under or in connection with this Agreement.

13. Electronic Acceptance
This Agreement is entered into electronically. Acceptance during the application or participation process constitutes a legally binding electronic signature.
